Welcome to Boutee! These Terms of Service ("Terms") are a legally binding agreement between Stylemind Technology Ltd. (trading as "Boutee," "we," "us," or "our") and you, the Customer ("you" or "your"). These Terms govern your access to and use of our proprietary technology platform, including our website, web application, payment processing services, and all related matching and communication services (collectively, the "Platform").
By creating a profile on our Platform, using our web app, engaging with our technology, or initiating a commission with a designer, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Platform.

Regulatory Status: We are a technology platform operator facilitating connections between independent jewellers and customers. We are not regulated by the Financial Conduct Authority as we do not provide financial services, but we do process payments as an agent for our Designer community.

Key Definitions
To ensure clarity, the following terms are used consistently throughout this agreement:
- Boutee: Refers to Stylemind Technology Ltd., the technology platform operator that provides matching services and payment processing for bespoke jewellery commissions.
- Platform: Refers to the proprietary software and services operated by Boutee, including the web app, website, neural network matching technology, and payment processing infrastructure.
- Designer: Refers to an independent, third-party jeweller who is a verified member of our community and uses the Platform to showcase their work and manage customer commissions.
- Commission: Refers to the bespoke jewellery project contracted directly between a Customer and a Designer, with payment processing facilitated by Boutee.
- Customer: Refers to you, the individual seeking bespoke jewellery and using our Platform to connect with Designers.
- User Content: Refers to any content, including text, images, videos, and design inspirations, that you upload or provide on the Platform.
- Three-Party Relationship: The legal arrangement where you contract with the Designer for jewellery, Boutee facilitates connection and payment processing, and all parties have defined roles and responsibilities.
Our Role
Boutee is a technology platform connecting independent designers with customers seeking bespoke jewellery. We provide the technology infrastructure, payment processing services, and communication tools to facilitate these connections.
Our Legal Relationship with You
When you make a payment for a Commission:
- You enter into a contract of sale directly with the Designer
- We process your payment through our secure platform technology
- We hold funds temporarily before transferring them to the Designer (minus our service fee)
- We act as a technology service provider, not as the seller of goods
What We Do Provide
- Technology platform for designer-customer matching
- Secure payment processing infrastructure
- Communication tools and project management features
- Basic vetting of designers joining our platform
- Customer support for platform-related issues
- Dispute resolution assistance (though final resolution remains between you and the Designer)
What We Don't Guarantee
- The outcome, quality, or final design of any Commission
- The craftsmanship, materials, or specifications of the final product
- Delivery timelines or designer communication standards
- The accuracy of designer portfolio information
- That any Designer will accept your Commission request
Important: Your contract for bespoke jewellery is with the Designer, not Boutee. We provide technology services to facilitate the connection and payment processing, but the Designer is responsible for creating and delivering your piece.
The Bespoke Commission Process
Our technology analyses your style preferences to create a unique profile and recommends you suitable Designers. You can browse Designer portfolios, initiate contact through our inquiry tool, and discuss your project directly with your chosen Designer.
Payment Processing and Financial Terms
All payments are processed securely through our Stripe integration. When a Designer invoices you through our platform, we collect payment and transfer funds to the Designer minus our service fee for providing the platform technology.
By making payment, you agree to pay the invoiced amount, authorise us to process payment through our platform tools, and accept Stripe's terms. International customers may incur currency conversion fees and import duties.
Refunds and Returns
Each Designer sets their own refund policy - most bespoke items cannot be returned as they're made to your specifications. We only process refunds that Designers have agreed to issue, or in exceptional circumstances like payment processing errors or proven Designer fraud.
Designer or Customer Default
If a Designer fails to communicate for over 30 days, we'll investigate and may refund remaining funds. If you fail to pay agreed amounts, the commission may be cancelled and you remain liable for completed work, plus potential account suspension.
Your Consumer Rights
As a UK consumer, your rights under the Consumer Rights Act 2015 apply to the jewellery you commission. It's crucial to understand that your contract is directly with the Designer, not with Boutee. The Designer is the seller and is legally responsible for ensuring your bespoke jewellery is of satisfactory quality, fit for purpose, and matches any agreed-upon descriptions.
For bespoke items made to your personal specifications, the typical 14-day "cooling-off" period for online purchases may not apply. You should confirm this with the Designer during the commissioning process.
While your legal rights are against the Designer, Boutee can assist by providing access to your transaction records and helping you communicate with an unresponsive Designer. Boutee cannot force a Designer to honor your rights or make legal judgments about the jewellery.
If you have an issue, you must first contact the Designer directly. If they are unresponsive, Boutee can assist, but for legal advice or action, you should contact the Citizens Advice Bureau, Trading Standards, or consider small claims court.
Cancellation Rights for Bespoke Commissions
Under UK law (The Consumer Contracts Regulations 2013), consumers typically have a 14-day "cooling-off" period for goods purchased online, allowing them to cancel the order without giving a reason.
This 14-day cancellation right does not apply to the supply of goods that are "made to the consumer's specifications" or are "clearly personalised". Every jewellery Commission facilitated through the Boutee platform falls into this category.
By finalising your design with a Designer and making your first payment for the Commission through the Boutee Platform, you are giving your express consent for the Designer to begin sourcing materials and starting the creation process.
Important: You formally acknowledge that by making payment, you waive your statutory 14-day right to cancel this contract. Any cancellation or request for a refund after this point is not a statutory right and is governed by the terms of your direct agreement with the Designer.
Data Protection and Privacy
Boutee is committed to protecting your personal data in compliance with the UK GDPR.
Boutee acts as a Data Controller for the data we collect to operate our platform, including your profile information and style preferences. We use this data to provide our matchmaking service and improve our technology.
When you initiate a commission, you acknowledge that we will share your personal data with the chosen Designer to enable them to fulfill your order. The Designer is a separate and independent Data Controller for the data they receive from you and is responsible for their own data handling practices.
By proceeding with a commission, you explicitly consent to the sharing of your data with the Designer. For more details on how we process your data, please refer to our full Privacy Policy.
Cookies and Tracking Technologies
We use cookies and similar technologies to operate our platform, understand how it's used, and improve your experience. By using our platform, you consent to our use of cookies as described here and in our full Cookie Policy.
- Essential Cookies: These are strictly necessary for the platform to function. They handle things like user login, security, and payment processing. You can't disable these as they are vital for the platform to work correctly.
- Analytics and Personalization: We use cookies to analyze how you interact with our platform, which helps us improve our service. They also help our algorithm remember your style preferences to provide better designer recommendations.
- Third-Party Services: We use third-party services like Stripe for payments and Google Analytics to understand user behavior. These services may place their own cookies, governed by their privacy policies.
- Your Choices: You can manage or opt-out of non-essential cookies through your browser settings or our cookie preference center. However, be aware that disabling essential cookies may affect the platform's functionality.

Age Restrictions and Legal Capacity
To use the Boutee platform and commission bespoke jewellery, you must be at least 18 years old. By creating an account, you confirm that you have the legal capacity to enter into contracts and are at least 18. This is necessary due to the significant financial and contractual commitments involved in bespoke commissions.
We reserve the right to request age and identity verification for high-value commissions or in cases of suspicious activity.
If we discover an account belongs to someone under 18, it will be suspended, and any ongoing projects may be canceled. Providing false age information is a breach of these terms and may result in permanent account termination.
Designer Community and Platform Standards
Boutee maintains a community of designers by conducting a basic administrative vetting process. This includes verifying their business registration and reviewing a portfolio of their work. However, this process does not assess their technical skills, verify their qualifications, or guarantee the quality of their work.
Ultimately, the responsibility for choosing a designer rests with you. We recommend you review a designer's portfolio, discuss all project details, and agree on timelines and pricing in writing before proceeding.
Community Standards and Prohibited Conduct
To ensure a safe, professional, and respectful environment for all users, we require that all members of the Boutee community adhere to a strict code of conduct. Your access to and use of the Platform is conditional on your adherence to these standards.
Prohibited Conduct:
- Abusive or Harassing Behavior: You must not use abusive, defamatory, threatening, or harassing language or actions towards Designers, other customers, or Boutee employees.
- Illegal Activities: You must not use the Platform for any unlawful purpose or in any way that violates any applicable law or regulation.
- Intellectual Property Infringement: You must not post any content that infringes upon the intellectual property rights of any third party.
- Spam and Commercial Promotion: You must not post spam, unsolicited commercial promotions, or any form of unauthorized advertising.
- Misrepresentation: You must not create a false identity, impersonate any person or entity, or otherwise misrepresent your affiliation.
- Harmful Content: You must not post or share any content that is obscene, pornographic, or that promotes violence, discrimination, or illegal acts.
Account Termination Procedures
You can close your account at any time. However, this action does not affect your ongoing contracts or payment obligations to designers. After closure, you will lose access to the platform and our matching services, but your communication history will be retained for legal and dispute purposes.
Boutee may terminate your account immediately and without notice if you are under 18, use fraudulent payment methods, engage in abusive behavior, or violate our intellectual property rights.
Dispute Resolution & Limitation of Liability
Disputes with Designers
The contract for your bespoke Commission is exclusively between you and the Designer. You therefore agree that in the event of any dispute related to the Commission itself, you will first attempt to resolve the matter directly with the Designer.
Disputes with Boutee and Alternative Dispute Resolution (ADR)
If you have a complaint regarding the Boutee Platform that cannot be resolved through our customer support, our chosen ADR provider is The Retail Ombudsman (part of the Centre for Effective Dispute Resolution - CEDR). We will consider using this service to resolve disputes but are not legally obliged to do so.
Limitation of Liability
To the fullest extent permitted by law, Stylemind Technology Ltd. (trading as Boutee) shall not be liable for any indirect, incidental, or consequential losses or damages arising from your use of the Platform or from any Commission you enter into with a Designer.
Our total liability to you for any claim arising from or relating to the use of our Platform services is strictly limited to the amount of commission fees, if any, paid by you directly to Boutee in the 12 months preceding the claim.
Important: Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under the laws of England and Wales. Your statutory rights as a consumer are not affected.
Force Majeure and Business Continuity
While we strive to provide uninterrupted service, Boutee cannot guarantee continuous platform availability. The platform may be temporarily unavailable due to planned maintenance or unexpected events, such as technical issues or third-party service provider outages. We will provide advance notice for planned maintenance whenever possible.
Neither Boutee nor our designers can be held liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, government actions, infrastructure failures, or cyber-attacks.
If Boutee's services are significantly disrupted, your existing contract with the designer remains valid. We will provide updates and direct contact details for your designer whenever possible to ensure your project can continue. If Boutee were to cease operations, we would provide designer contact details and legally required fund transfers.
Boutee's liability for any service failures is limited. We are not liable for losses caused by events outside of our control, and our total liability for platform service failures is limited to a refund of any platform fees paid to Boutee.
General Provisions
Governing Law and Jurisdiction
These Terms and your use of the Platform are governed by and construed in accordance with the laws of England. You and Boutee agree that any legal action or proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England.
Changes to These Terms
Boutee reserves the right to amend, update, or change these Terms at any time. We will provide reasonable notice of any material changes to these Terms by posting the new version on our website or through other communication methods. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms. The invalidity or unenforceability of that provision will not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Boutee regarding your use of the Platform. This agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
